1. Definitions and scope
“NINET” is the brand through which Shawati Al Bun Trading Company provides its digital services on this website. “Client” or “user” means anyone who uses the website, creates an account, requests a service, or approves a quotation or invoice. “Services” include website design and development, brand identity, content, digital services, support, consulting and any other work stated in an approved request or quotation.
2. Acceptance of terms
By using the website, creating an account, submitting a service request, or approving a quotation or invoice, the user acknowledges and accepts these terms as applicable to the transaction. If a written contract, quotation or scope of work contains specific terms, those specific terms will prevail for that matter in the event of a conflict.
3. Accounts and client area
- Clients must provide accurate and current information when registering or placing a request.
- Clients are responsible for keeping login credentials confidential and not sharing them with unauthorized persons.
- NINET may temporarily suspend an account where misuse, unauthorized access or a material breach of these terms is reasonably suspected.
4. Service requests and quotations
Some services may have fixed pricing, while others require scope assessment and a quotation or work order. A general service description does not include requirements that are not stated in the approved request or quotation. Work begins according to the approved scope after the applicable start requirements are satisfied.
5. Client information and materials
The client represents that the information, files, text, images, logos and data supplied to NINET are accurate and that the client has the necessary right or permission to use and provide them for the service. The client is responsible for obtaining any permissions or licenses required for its materials, brands or content before publication.
6. Pricing, taxes and third-party fees
Pricing is based on the published service price or the approved quotation or invoice. VAT or other legally applicable charges are added when required. Unless expressly stated otherwise, NINET fees do not include domain, hosting, platform, license, advertising, government or other third-party provider fees.
7. Payment and invoices
- Payment is due according to the amount, milestone and payment method stated in the approved invoice or quotation.
- For bank transfers, payment is not treated as confirmed until the transfer has been verified by administration.
- Work or delivery may be paused if a due payment is overdue until it is settled, subject to any written agreement to the contrary.
8. Scope changes and revisions
The service includes only the work and revision rounds stated in the approved scope or quotation. Requests for additional functionality, pages, content, integrations or revisions outside the agreed scope may be treated as a scope change and may require additional fees or time, which will be communicated before implementation.
9. Timelines and client delays
Any stated delivery period is an estimate unless a contract or quotation expressly makes it binding. Timelines may be affected by delays in client materials, approvals, responses or payments, or by factors outside NINET’s control such as hosting, platforms or third-party services.
10. Delivery, review and acceptance
When a milestone or final version is delivered, the client should review it and provide feedback within the agreed period or a reasonable time. Publishing, using the deliverable in a live environment, or confirming approval in writing constitutes acceptance, without affecting NINET’s obligation to correct technical defects covered by the agreed support scope.
11. Cancellation, refunds, replacement and defect correction
Cancellation or refund requests are assessed based on the stage of work, work already completed, time and resources allocated, and any external costs or fees already paid. Third-party fees and services already performed or activated are non-refundable unless the relevant provider permits a refund or applicable law requires otherwise. Any specific cancellation or refund terms in an approved quotation or contract will apply.
Because the services and deliverables are digital and often customized, conventional replacement of a physical product does not normally apply. If a technical defect exists or a deliverable does not conform to the approved scope, NINET will review the case and, as appropriate, correct the defect, redeliver the affected part, or perform a revision within the agreed scope, without limiting any rights available to the client under applicable law.
11.1 Digital service delivery policy
Services are provided and delivered electronically by email, client area, electronic link, server or another agreed platform depending on the service. The delivery period begins after applicable start requirements are satisfied, including scope approval, payment of the due amount and receipt of required client information and materials. Delivery time varies by service and approved quotation and may be affected by client delays or external factors described in these terms.
11.2 Electronic payment policy
Where electronic payment is available, transactions are processed through an approved payment gateway or payment service provider. An order or subscription is not treated as paid until successful payment is confirmed by the provider or verified by NINET. An approved refund may be subject to processing procedures and timelines of the bank, card network or payment provider. NINET does not store full card details when they are processed directly by the payment provider.
12. Intellectual property and project files
Ownership of deliverables and source files is determined by the approved quotation or scope. Unless otherwise stated, the client receives the right to use final custom deliverables after all amounts due for the project are paid. Pre-existing tools, templates, libraries, generic code and third-party licensed materials remain subject to their respective ownership and license terms.
13. Third-party services and components
Some services may rely on third-party domains, hosting, plugins, fonts, libraries, payment gateways, platforms or APIs. These components are governed by their providers’ terms and policies. NINET cannot guarantee their continued availability, pricing or decisions where these are outside NINET’s control.
14. Confidentiality and portfolio use
NINET handles unpublished client materials only as needed to provide the service and does not use confidential or unpublished materials for marketing without permission. Publicly released work may be featured in NINET’s portfolio where permission or another valid right allows it, unless the parties agree otherwise in writing.
15. Privacy and data protection
Personal information is handled in accordance with the Privacy Policy and Contact Form Data Policy published on the website. Users should provide only the information reasonably necessary to deliver the service, manage their account and follow their requests.
16. Prohibited use
The website or services must not be used for unlawful or harmful activity, including:
- Attempting to compromise, disrupt or bypass website security or account permissions.
- Uploading malicious software or files that infringe third-party rights or violate applicable law.
- Using identities, payment information or data that the user is not authorized to use.
17. Warranties and limitation of liability
NINET will use reasonable professional care in delivering agreed services. NINET does not guarantee outcomes dependent on search engines, platforms, authority approvals, third-party services or changes beyond its control. Nothing in these terms excludes or limits any right or liability that cannot lawfully be excluded or limited under applicable law.
18. Suspension or termination
A service may be suspended or terminated for a material breach of these terms, overdue payments, unlawful use, or where continuation becomes materially impossible for legal or technical reasons. Work performed and amounts due up to termination will be handled according to the approved scope and agreements.
19. Force majeure and events beyond control
NINET is not responsible for delays directly caused by events beyond reasonable control, such as widespread outages, failure of essential providers, disasters, emergency regulatory measures or similar events. Work will resume when reasonably possible after the cause ends.
20. Electronic communications and notices
Account, order, invoice, payment or ticket notices may be sent to the email address or contact details registered by the client. The client is responsible for keeping those details current. Order status may also be displayed within the client area.
21. Governing law and jurisdiction
These terms are governed by the laws and regulations applicable in the Kingdom of Saudi Arabia. In the event of a dispute, the parties will first seek an amicable resolution. If this is not possible, the competent courts or authorities in Saudi Arabia will have jurisdiction unless a valid written agreement provides otherwise.
22. Changes to these terms
These terms may be updated as services, operational requirements or legal requirements change. The latest version will be published on this page with the last-updated date. Updates do not alter accrued rights or prior agreements except where permitted by law or agreed by the parties.
